TPL Insurance renamed JazzSure after Jazz stake buy

TPL Insurance Limited has been renamed JazzSure Insurance Limited with effect from 7 October, the company said, following the completion of the acquisition of a 76.33% controlling stake by Jazz International Holding Limited.

The transaction had a long path to completion. According to the notice, VEON Group Holding Company Ltd, a subsidiary of Nasdaq-listed VEON Ltd, first expressed its intention to acquire shares and control in TPL Insurance Limited on 4 September 2025. TPL Corp Limited, then majority shareholder with 52.87%, granted in-principle approval on 8 September 2025. Jazz International Holding Limited was confirmed as the new acquirer, replacing VEON Group Holding Company Ltd, on 16 December 2025, and the TPL Corp board approved final signing of a share purchase agreement the following day.
Regulatory steps followed. The Securities and Exchange Commission of Pakistan approved the acquisition of a controlling stake on 11 February 2026, anticipating an increase in insurance penetration and foreign investment. TPL Corp Limited entered into the share purchase agreement on 5 March 2026, and Jazz International Holding Limited signed a definitive agreement on 8 March 2026 to acquire the controlling stake for approximately Rs4.15 billion. The Competition Commission of Pakistan authorised the deal on 14 April 2026 after a Phase-I review, determining it was a conglomerate merger with no significant competition concerns. The acquisition completed on 13 July 2026.
The acquisition was intended to expand Jazz's digital financial services portfolio in Pakistan by integrating insurance with existing services including JazzCash, Mobilink Bank and FikrFree, according to the notice.
